YAYA TERMS OF SERVICE

These Terms of Service (“Terms”) set out the terms and conditions under which individuals may use the Yaya mobile application and access the services offered by Yaya Middle East FZ-LLC (“Yaya,” “Yaya Services,” or “We”), a company registered in the United Arab Emirates. These Terms constitute a legally binding agreement between Yaya and you, the person accessing and using this mobile application (“You” or “User”). Yaya Middle East FZ-LLC owns, operates, and maintains the Yaya mobile application (“App”) and other subsidiary platforms accessible from this App. By accessing the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the App or its services.

1. DESCRIPTION OF SERVICES

Yaya operates as a digital platform that facilitates the connection between individuals and families seeking caregiving services. Yaya provides two primary services:

(a) Job Matching for Domestic Workers (“Carefinder”)

•Yaya allows families (“Service Seekers”) to connect with individuals seeking employment as nannies, housemaids, caregivers, and other domestic workers (“Service Providers”).

•Families can review job postings, browse candidate profiles, and communicate with candidates directly to arrange employment agreements.

• Yaya does not act as an employer, agent, or recruitment service for domestic workers.

(b) Directory of Third-Party Family Care Services

• Yaya provides a listing service for third-party businesses (“Third-Party Providers”) that offer services such as doulas, coaches, tutors, therapists, and other specialized care providers.

•Families can discover and contact these service providers directly through Yaya’s platform.

•Yaya does not endorse, verify, or guarantee the quality, safety, legality, or suitability of third-party services.

Yaya is not responsible for and does not intervene in the hiring, contracting, or engagement process between any Service Seeker and Service Provider or Third-Party Provider.

2. YAYA’S ROLE & LIMITATION OF LIABILITY

Yaya solely provides a platform for job posting and service listings and does not directly hire, verify, screen, or manage any domestic worker, caregiver, or third-party service provider.

A. No Employment Relationship

Yaya is not an employer of any Service Provider or Third-Party Provider.

Yaya does not control or supervise the work performed by any Service Provider or Third-Party Provider.

•Any contractual agreement between a Service Seeker and a Service Provider (or a Third-Party Provider) is made solely between those parties.

B. No Verification or Screening

Yaya does not conduct interviews, background checks, reference verification, or credential reviews for any user on the platform.

•It is the sole responsibility of the Service Seeker to conduct due diligence before hiring a Service Provider or Third-Party Provider.

C. Compliance with UAE Labor Laws

Domestic Worker Regulations: Users must ensure compliance with UAE Federal Law No. 10/2017 (Domestic Workers Law), including requirements for employment contracts, working hours, and dispute resolution.

MOHRE Contracts: Yaya advises Service Seekers to formalize contracts in compliance with the Ministry of Human Resources and Emiratisation (MOHRE).

Work Permit and Visa Compliance: Service Seekers must ensure that Service Providers have valid work permits and residency visas in compliance with UAE labor laws.

Third-Party Provider Licensing: Third-Party Providers are responsible for holding valid licenses in accordance with UAE regulations (e.g., Dubai Healthcare City Authority for healthcare providers).

3. No Endorsement of Third-Party Providers

Third-Party Providers are responsible for ensuring that the information they provide about their services is accurate and legally compliant.

Yaya does not endorse, verify, or guarantee the quality, safety, legality, or suitability of any third-party service.

4. No Liability for User Agreements

Yaya is not a party to any agreements between users, including employment contracts, service agreements, or payments.

Yaya assumes no liability for disputes, misrepresentation, fraud, damages, or legal claims arising from user interactions.

5. USER ELIGIBILITY & COMPLIANCE

To be eligible to use Yaya’s Services, you represent and warrant as follows:

A.Be at least 18 years old at the time of registration.

B. If registering as a Service Provider, be legally permitted to work in the jurisdiction where you seek employment.

C.Neither you nor any member of your household has ever been the subject of a complaint, restraining order, or any other legal action or criminal offense involving violence, abuse, neglect, fraud, or any offense that endangers the safety of others.

D. You are not registered or currently required to register as a sex offender with any government agency in any jurisdiction.

E.Users must declare that they have no criminal history in the UAE or their home country related to violence, abuse, fraud, or offenses endangering the safety of others.

F. Yaya reserves the right to report suspected criminal activity to UAE authorities, including concerns related to human trafficking under Federal Law No. 51/2006.

Yaya reserves the right to suspend or remove accounts that violate these eligibility criteria.

6. USER ACCOUNTS & ACCESS

To utilize specific functionalities within the App, the creation of a profile via the App (“User Account”) is necessary.

Registration Data: You must supply Yaya with accurate, complete, and up-to-date registration details, including your name, email address, and other requested information.

Confidentiality: You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

Account Misuse: You agree to notify Yaya of any unauthorized use of your account and log out at the end of each session.

Yaya reserves the right, at its sole discretion, to terminate or suspend your account for misuse, violations of these Terms, or if Yaya believes your account poses a security risk.

7. USER RESPONSIBILITY FOR CONDUCTING DUE DILIGENCE

Service Seekers are solely responsible for verifying the credentials, experience, and reliability of a Service Provider or Third-Party Provider before hiring. This includes:

Checking references

Conducting interviews

Performing background checks

Confirming legal work eligibility

Yaya is not responsible for any claims, losses, injuries, damages, or disputes resulting from engagements with Service Providers or Third-Party Providers. Users acknowledge that they bear all risks associated with interactions and agreements made through the Yaya platform.

8. USER RESPONSIBILITIES AND CODE OF CONDUCT

By using the Yaya platform, you agree to:

Provide accurate and truthful information in your profile and service listings.

Refrain from posting misleading or deceptive content.

Respect the privacy and personal information of other users.

Avoid engaging in any form of harassment, discrimination, or abusive behavior.

Comply with all applicable laws and regulations.

Users who violate these responsibilities may have their accounts suspended or terminated.

9. INTELLECTUAL PROPERTY RIGHTS

User-Generated Content: By submitting content on Yaya, you grant Yaya a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with our services.

Platform Content: All materials on Yaya, including text, graphics, logos, and software, are protected by intellectual property laws. Users may not use, reproduce, or distribute Yaya’s content without written permission.

10. Data Privacy Compliance

•Yaya is committed to compliance with UAE Data Protection Law (Federal Decree-Law No. 45/2021).

•Yaya’s Privacy Policy outlines data collection, processing, storage, and cross-border data transfer practices. By using the App, you consent to Yaya’s Privacy Policy.

•Explicit user consent is required for data sharing.

•Yaya does not knowingly collect data from minors and does not process biometric data.

11. LIMITATION OF LIABILITY

Consumer Protection: Nothing in these Terms limits Yaya’s liability in any way that conflicts with UAE Consumer Protection Law (Federal Law No. 15/2020).

Fraudulent Listings: Yaya explicitly disclaims liability for fraudulent user profiles or listings. However, Yaya will cooperate with UAE authorities in investigations of fraudulent or illegal activity reported on the platform.

To the fullest extent permitted by law, Yaya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

Your use or inability to use the platform.

Unauthorized access to or alteration of your data.

Actions or content of third parties on the platform.

Users acknowledge that Yaya is not liable for disputes, losses, or damages arising from interactions with Service Providers or Third-Party Providers.

12. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Binding Arbitration: Any disputes arising out of or relating to these Terms or your use of Yaya shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC).

Class Action Waiver: You agree to resolve disputes with Yaya on an individual basis and waive the right to participate in a class, collective, or representative action.

13. TERMINATION OF SERVICE

Yaya reserves the right to:

Suspend or terminate accounts for policy violations, fraudulent activity, or platform misuse.

Remove any content or listing that is false, misleading, or harmful.

Users whose accounts are terminated will not be entitled to refunds or reinstatement.

14. REFUND POLICY

All fees paid to Yaya are non-refundable, except as required by applicable law or as explicitly stated otherwise.

15. LINKS TO THIRD-PARTY CONTENT

•Yaya is not responsible for external links or third-party content and assumes no liability for transactions, disputes, or damages.

16. REVIEW AND FEEDBACK POLICY

• Users may leave factual, experience-based reviews.

Yaya does not verify or endorse reviews and reserves the right to remove misleading or defamatory content.

17. MODIFICATION OF TERMS

•Yaya reserves the right to modify these Terms at any time. Continued use of the platform after modifications constitutes acceptance of the updated Terms.

18. SEVERABILITY

•If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force.

19. INDEMNIFICATION

You agree to indemnify and hold Yaya, its parents, subsidiaries, affiliates, officers, and employees harmless from any claim, demand, or damage, including reasonable legal fees, asserted by any third party due to or arising out of your use of the Services and App.
